1. Introduction and Acceptance

1.1. These Terms of Use (the "Terms") govern your access to and use of the website, mobile application and related services operated under the brand "VistarB2B" (collectively, the "Platform"). The Platform is owned and operated by VISTAR B2B MANUFACTURING PVT LTD, a company incorporated under the Companies Act, 2013, having its registered office at [●] ("Company", "we", "us", "our").

1.2. By accessing, registering on or using the Platform in any manner, you ("User", "you", "your") agree to be bound by these Terms, our Privacy Policy and other policies displayed on the Platform, as may be amended from time to time.

1.3. If you do not agree with these Terms, you must not access or use the Platform.

1.4. These Terms are an electronic record under the Information Technology Act, 2000, the rules made thereunder and the Digital Personal Data Protection Act, 2023 and do not require any physical or digital signatures.

2. Nature of the Platform and Role of VistarB2B

2.1. The Platform is a business to business industrial marketplace that enables registered business buyers and sellers to list, discover, negotiate and transact in products and services such as pumps, valves, industrial components and related goods ("Products").

2.2. Unless expressly stated otherwise, VistarB2B acts as a facilitator and intermediary and provides an online platform for Users to interact with each other.

  • We are not a party to contracts between buyers & sellers;
  • We do not manufacture or guarantee third-party listed products;
  • Quality/Specifications responsibility lies with respective sellers.

2.3. Any Product contract is exclusively between buyer & seller. All commercial terms are mutually agreed between them.

2.4. Platform may provide logistics, documents and payment gateway support via third-party providers.

3. Eligibility and Business Use

3.1. Platform access is limited to businesses/entities. User must be 18+ and legally capable of contract.

3.2. During registration, user must provide authentic business details including GST,PAN,KYC.

4. Account Registration and KYC

4.1. To use platform features you may need to create an account providing:

  • Business name, contact, GSTIN, billing address
  • KYC documents and relevant licences

4.2. User is responsible for login confidentiality and misuse reporting.

4.4. Platform may verify documents or suspend accounts for misuse/fraud suspicion.

5. User Obligations and Prohibited Conduct

  • Must comply with Indian IT & Data Protection laws.
  • No counterfeit, illegal or infringing product listing.
  • No uploading offensive/abusive/virus/crawling/scraping elements.

6. Product Listings, Content and IP

Sellers are responsible for correctness of product descriptions, warranty etc.

User grants content usage rights for platform promotions.

7. Ordering, Pricing & Taxes

Prices are INR unless stated. May change based on seller terms. Taxes as applicable.

8. Payments and Settlement

Payment via third-party gateways. Platform doesn't store full card data. Refund/chargeback policy applies.

9. Shipping, Delivery, Returns & Cancellation

Timelines are estimates. Detailed Refund/Cancellation Policies apply separately.

10. Third Party Services

Usage at own risk. Platform not liable for external service policies.

11. Data Protection & Privacy

Subject to website Privacy Policy and DPDP Act.

12. Disclaimer of Warranties

Platform provided “as-is” without any warranty guarantee.

13. Limitation of Liability

Maximum liability limited to INR ₹5,000 or previous 3-month fee paid.

14. Indemnity

User agrees to indemnify platform for misuse breaches.

15. Termination

Platform may suspend/terminate account for violations without notice.

16. Policy Changes

Terms may update; continued use implies acceptance.

17. Jurisdiction & Disputes

Governed by Indian law; arbitration possible at specified location.

18. Cookie Policy

Cookies used to enhance website function & analytics. User may manage via browser.

19. Legal Disclaimer

B2B marketplace; VistarB2B not accountable for product compliance unless specified.

20. Miscellaneous

Invalid clause doesn't affect remaining terms. No right transfer without permission.
